S180 of the Corporations Act 2001 (Cth) pertains to care and diligence of a director, which forms a part of his or her civil obligations.[1] According to s180(1) a director or any other officers of corporation is required to exercise bestowed powers and perform their responsibilities in a manner that shows great degree of care and diligence that any other reasonable person can exercise. This is required for a director or any other person who occupy and office that performs the same responsibilities as the director. This is an important consideration in the application of this law because the person must not be the director but one occupying an office of the director.
